These Terms & Conditions (“Terms”) govern your use of the Crisis Intelligence Assessment Tool (the “Tool”) provided by Nichole Brackett Walters (“we”, “us”, “our”).

By accessing or using this Tool, you agree to be bound by these Terms. If you do not agree, you must not use the Tool.

The Tool is designed to:

• Assess organizational crisis readiness
• Provide diagnostic insights and recommendations
• Support leadership decision-making

The Tool does not:

• Provide legal advice
• Guarantee crisis prevention or outcomes
• Replace professional, legal, or regulatory consultation

By using the Tool, you confirm that:

• You are at least 18 years old
• You are authorized to provide information on behalf of your organization (if applicable)
• The information you provide is accurate to the best of your knowledge

All outputs generated by the Tool, including:

• Scores
• Reports
• Predictive insights
• Recommendations

are:

• Based on user-provided data
• Intended for informational and advisory purposes only

We do not warrant that:

• The results are complete or error-free
• The recommendations will prevent or mitigate crises

The Tool does not constitute:

• Legal advice
• Financial advice
• Regulatory advice

Users should seek independent professional advice where appropriate.

The Tool offers paid services, including:

• Professional Report
• Executive Intelligence Report
• Consultation & Advisory Services

6.1 Payment Terms

• All fees are payable in advance
• Prices are subject to change without notice
• Refund eligibility depends on the service tier and is set out in the Refund Policy

6.2 Refund Terms

The refund terms for each tier are described in the Refund Policy:

• MEASURE (Executive Intelligence, self-serve): full refund within 7 days of purchase, before the report is generated or delivered; no refund after delivery
• STRENGTHEN (Organizational Readiness): 100% refund before kickoff, 50% refund after assessment collection but before report delivery, non-refundable after delivery
• TRANSFORM (Readiness Transformation): governed by the signed statement of work for that engagement — see your SOW for cancellation terms

6.3 Access Rights

Upon payment, users are granted:

• A non-transferable, limited license to access the purchased report

Users may not:

• Resell or redistribute reports
• Use outputs for commercial resale

Where users book consultations:

• Sessions are advisory in nature
• Outcomes are dependent on implementation by the client
• No guarantee of results is provided

We collect information including:

• Name
• Company name
• Email
• Telephone
• Assessment responses

This data is used to:

• Generate reports
• Provide recommendations
• Improve the Tool
• Contact users regarding services

8.1 Data Protection

We take reasonable measures to protect your data. However:

• No system is completely secure
• Users provide data at their own risk

8.2 Data Usage

We may:

• Use anonymized data for analytics and benchmarking
• Use contact information for follow-up communication

We will not sell personal data to third parties.

All content within the Tool, including:

• Frameworks (e.g., ACTIVE framework)
• Reports
• Methodologies
• Design

are the intellectual property of Nichole Brackett Walters.

Users may not:

• Copy
• Reproduce
• Distribute
• Modify

without prior written consent.

To the fullest extent permitted by law:

We shall not be liable for:

• Any direct or indirect damages
• Loss of business, revenue, or reputation
• Decisions made based on the Tool's output

Use of the Tool is at your own risk.

We do not guarantee that:

• Crises will be prevented
• Risks will be eliminated
• Outcomes will improve

The Tool supports decision-making but does not control external events.

The Tool may integrate with third-party services (e.g., payment processors, scheduling tools).

We are not responsible for:

• Their performance
• Their data handling practices

We reserve the right to:

• Suspend or terminate access
• Restrict use

if users:

• Violate these Terms
• Misuse the Tool

We may update these Terms at any time.

Continued use of the Tool constitutes acceptance of updated Terms.

These Terms shall be governed by the laws of:

Jamaica

Any disputes shall be subject to the jurisdiction of Jamaican courts.

We will treat user-provided information as confidential, except where:

• Disclosure is required by law
• Information is anonymized for analytics
